Terms And Conditions

We are Sino Ventures Group (SVG), and we own and operate the website at www.scard.business, including its sub-domains and related services (collectively, the “Site”), under the brand name s͛Card. SVG does not own or operate domains that use the Custom Domain function.

Your use of this Site is subject to these Terms of Use. By using the Site, you are deemed to have accepted and agree to be bound by these Terms of Use.

1. ACCEPTANCE OF TERMS

  • 1.1 By accessing or using the Site, you agree to these Terms of Use.
  • 1.2 We may revise these Terms of Use at any time by updating this page or posting a notice on the Site. While we may also announce material updates by reasonable means (such as email or on-site notifications), we cannot guarantee that you will always receive or review such notices. It is your responsibility to check these Terms periodically for changes before using the Site. Your continued access to or use of the Site after updates are posted constitutes your acceptance of the revised Terms.

2. ABILITY TO ACCEPT TERMS OF USE

  • 2.1 You affirm that you are at least 18 years of age or possess legal parental/guardian consent and are fully competent to accept and comply with these Terms.

3. SITE ACCESS

  • 3.1 You are responsible for all access to the Site through your internet connection.
  • 3.2 We will use reasonable efforts to keep the Site available, but do not guarantee uninterrupted or error-free service. The Site may be unavailable during upgrades or maintenance.

4. ACCESS OUTSIDE OF SINGAPORE

  • 4.1 We make no representation that Site content is appropriate outside Singapore. If you access from elsewhere, you do so at your own risk and must comply with local laws.

5. YOUR USE OF THE SITE

  • 5.1 Your permission to use the Site is personal, non-transferable, and conditional on compliance with these Terms. You agree not to:
    • (a) use the Site for unlawful purposes;
    • (b) harass, threaten, or infringe others’ rights;
    • (c) impersonate or misrepresent affiliations;
    • (d) disrupt the Site’s operation or networks;
    • (e) transmit harmful code or malware;
    • (f) reproduce, resell, or commercially exploit the Site without authorisation;
    • (g) reverse-engineer, decompile, or disassemble the Site;
    • (h) remove copyright or proprietary notices;
    • (i) frame or mirror the Site without written consent;
    • (j) systematically extract or store Site content;
    • (k) use automated tools to gather content without written consent (except for public search engine indexing).
  • 5.2 We reserve the right to revoke exceptions to these restrictions at any time.

6. AI ASSIST SERVICE

  • 6.1 The Site may provide an AI Assist feature, which uses large language models (LLMs) and related technologies provided by third-party vendors. By using AI Assist, you acknowledge and agree that:
    • (a) you should not submit sensitive, confidential, or personal information to AI Assist;
    • (b) AI Assist may produce inaccurate or incomplete responses, and you are solely responsible for verifying information and exercising due diligence;
    • (c) SVG and s͛Card bear no responsibility or liability for any errors, losses, damages, or consequences arising from your use of AI Assist.
  • 6.2 Users are strictly prohibited from using AI Assist to create, transmit, or distribute illegal, unlawful, or harmful content. Any user found engaging in such activities may have their access suspended or blacklisted, and relevant information may be reported to the appropriate authorities.
  • 6.3 Users may use AI Assist to help transfer or extract their own information, such as digital business card data, from third-party vendors or platforms. This process is permitted only when:
    • (a) the user is the rightful owner of such information; and
    • (b) the user consents to SVG/s͛Card processing the data for the limited purpose of assisting with the transfer.
  • 6.4 Such use is not considered data scraping because it involves user-owned data and express consent. If it is later determined that a user is not the rightful owner of the data, the sole responsibility rests with that user. SVG and s͛Card act only as a neutral platform and tools provider, and expressly disclaim any responsibility or liability for such misuse. Any claims, complaints, or disputes regarding unauthorised use of data must be directed against the user who supplied the information, not SVG or s͛Card.

7. INTELLECTUAL PROPERTY

  • 7.1 All intellectual property rights in and to this Site, including but not limited to text, images, videos, graphics, user interfaces, visual interfaces, software code, applications, programs, trademarks, service marks, trade names, logos, branding, and all designs (including registered and unregistered UI/UX designs) (collectively, the “Intellectual Property”), are owned by Sino Ventures Group (SVG) and operated under the brand s͛Card, or by our licensors. All rights are reserved.
  • 7.2 You may not copy, reproduce, imitate, adapt, distribute, display, publish, license, resell, or otherwise exploit any part of the Intellectual Property without our prior express written consent. Prohibited activities include, but are not limited to:
    • (a) mimicking, cloning, or substantially reproducing our UI/UX design, branding, or software code;
    • (b) reselling, sublicensing, or commercialising our Intellectual Property without authorisation;
    • (c) using our Intellectual Property in a way that competes with, harms, misrepresents, or dilutes the reputation of SVG or s͛Card.
  • 7.3 Any unauthorised use constitutes a material breach of these Terms and may infringe applicable copyright, trademark, and other intellectual property laws.
  • 7.4 SVG reserves the right to take immediate legal action against any infringing party. Remedies may include:
    • (a) injunctive relief to stop further use;
    • (b) monetary damages, including recovery of profits attributable to infringement and/or statutory damages where applicable;
    • (c) reimbursement of legal costs incurred in enforcing our rights.
  • 7.5 In addition to legal remedies, SVG may require the infringing party to issue a public announcement acknowledging the infringement and issuing a formal apology in a form and manner reasonably approved by SVG. If the infringing party fails to comply, SVG reserves the right to publish the fact of infringement itself.
  • 7.6 If unauthorised commercial use of our Intellectual Property is made for profit, SVG reserves the right to seek compensation proportionate to the number of users impacted, the duration of use, and the commercial benefit gained by the infringing party, in addition to other remedies under law.
  • 7.7 User-submitted content, such as links in individual profiles, remains the responsibility of the user who provided it. SVG does not claim ownership of third-party sites linked by users. If a site owner requires the removal of a link, they must contact the user directly.

8. LIMITATION OF LIABILITY

  • 8.1 The Site is provided on an “as is” basis. We make no representation as to the quality, completeness, or accuracy of Site content. To the maximum extent permitted by law, we exclude:
    • (a) all conditions and warranties implied by law;
    • (b) all liability for damages, including direct, indirect, or consequential loss, loss of data, income, or profit.
  • 8.2 Nothing in these Terms excludes liability where unlawful to do so, including liability for death or personal injury caused by negligence.

9. COLLECTION OF PERSONAL INFORMATION

  • 9.1 We may collect and use your information in accordance with our Privacy Policy, available at: www.scard.business/privacy-policy.

10. BLACKLISTING & SUSPENSION

  • 10.1 As a private platform, we reserve the right to suspend or blacklist users whose conduct is deemed harmful to our network or other users. Appeals may be submitted but approval is at our sole discretion.

11. DURATION OF TERMS

  • 11.1 These Terms remain in effect until terminated. SVG may terminate access at any time without liability.

12. GOVERNING LAW

  • 12.1 These Terms are governed by the laws of Singapore. The courts of Singapore have non-exclusive jurisdiction over disputes arising under or in connection with these Terms.
